What tools do you and your attorneys currently use to uncover risks when performing due diligence and evaluating acquisition candidates for a client? What resources do these attorneys use to prepare for securities or other litigation?

Carol Barra, Senior Librarian Relations Consultant, shares the advice that LexisNexis® has licensed valuable content from Institutional Shareholder Services (ISS). This content has often been requested by M&A, Securities, and Corporate transactional attorneys.

ISS Sustainability and Risk Reports should be used for due diligence in M&A matters to identify potential risks associated with acquisition candidates. Attorneys can use these reports to compare a group of candidates in an industry to better advise their clients about potential merger targets. These are the reports their counterparts in the Investment Banking industry are using to analyze M&A deals.

These reports can also help attorneys better advise their clients about how they compare with other companies in the same industry, based on a number of criteria— Social Issue Oversight, Climate Change Practices, Environmental Practices, Ethics & Products, and Labor & Human Rights.

ISS is recognized and respected in the M&A and Securities market and their research is often cited in the press.
