·        Negotiate and draft documents to facilitate business deals, incorporate companies and advise clients on what type of corporate entity (for-profit or not-for profit entity) to form based on tax implications and business goals.
·        Determine the best form of a proposed acquisition transaction and advise on the antitrust ramifications on such acquisition and conduct due diligence.
·        Advise directors and officers on matters of liability, insurance, corporate responsibility, and compliance programs.
 
Junior associates typically assist in performing due diligence related to corporate acquisitions and mergers and assist clients in preparing for stricter corporate governance guidelines. New attorneys also perform research and analysis of state corporate law.
