Welcome to the International & Foreign Law Discussion Forum!  We are providing this bit of cyberspace for our visitors to raise questions or issues concerning public or private international law, international business or commercial transactions, or foreign law for discussion or comment. Please register below in order to participate.

 As a first question, lots of time, effort and Euros have been spent on the Common Frame of Reference and discussion of  a proposed "European Civil Code".  Consider that neither Canada nor the United States have managed to achieve such national legal unity, and their respective consituent provinces and states have a far weaker claim to sovereignty and independence from each other than do the Member States of the EU.   If one eliminates legal diversity by replacing national civil codes with a European one, does not that imply that the achieved unity has stripped out one of the "common" driving forces for unity and continental peace? Should there be a European Civil Code or does this violate inherently the principle of subsidiarity and thus undermine the very notion, and threaten the existence, of the Member States?

    That is a vast subject and I would like to suggest that you narrow it at first so that we can make a meaningful start. Do you want to compare corporate law basics in any particular countries or do you want to contrast them based on legal tradition (civil law vs common law forms)? Since you used the term corporate, I'm assuming that you are interested in corporations and limited liability companies and we will not include partnerships or related entities in the discussion. Please elaborate. Thanks!
