The Second Edition of the M&A Practice Guide, current through 2009, has been released. According to the second edition, merger volume continued to decline in late 2008 and early 2009 as the credit crisis continued and the worldwide economy slowed. A new discussion on distressed M&A was added in § 2.18 to address the current focus on restructurings and distressed asset acquisitions. An analysis of the target board’s fiduciary duties and the recent Lyondell case was included in § 3.03. Additional discussions of letters of intent and sample engagement letters were added in Chapter 5.
