Ballantine & Sterling: California Corporation Laws
This excellent treatise has been extensively and thoroughly revised. The latest edition, current through June 2009, now discusses Postal Instant Press, Inc. v. Kaswa Corp. 162 Cal. App. 4th 1510 (2008), which held that a third party creditor may not pierce the corporate veil to reach corporate assets in order to satisfy a shareholder’s personal liability, among many other changes.
