Dorsey & Whitney advises Sino Gold Mining on its merger with Eldorado Gold Corporation
Dorsey & Whitney in Hong Kong advised Sino Gold Mining Limited on the Hong Kong aspects of its merger with Eldorado Gold Corporation.

Dorsey & Whitney in Hong Kong advised Sino Gold Mining Limited on the Hong Kong aspects of its merger with Eldorado Gold Corporation. Sino Gold is primarily listed on the ASX, and secondarily listed on the HKEx. (Dorsey & Whitney advised Sino Gold on its secondary listing on the HKEx.) Partner David Richardson and associate Eden McMahon worked on the transaction. Eldorado has shares listed on the TSX and NYSE. The merger was implemented by a share scheme under which Eldorado would acquire all those Sino Gold shares that it did not currently own in return for the issue of Eldorado shares.

The merger would create a gold producer with a combined market capitalisation of approximately US$5.9 billion, with a diversified portfolio of assets across China, Turkey and Greece.

For Sino Gold, Allens Arthur Robinson were the Australian legal advisers, Cassels Brock and Blackwell were the Canadian legal advisers and Dorsey & Whitney were the Hong Kong legal advisers.

For Eldorado, Freshills were the Australian legal advisers, Fasken Martineau were the Canadian legal advisers and Linklaters were the Hong Kong legal advisers.
